DrivePro Inc. – Terms of Use

These Terms of Use (the “Terms”) apply to your access and use of the website hosted at vehicleforhiretraining.com and any associated mobile or desktop applications (together, the “Site”). The Site is operated by DrivePro Inc. (“DrivePro,” “we,” “us” or “our”), a company incorporated under the laws of Canada with its registered office at 104 Crockford Blvd, Scarborough, Ontario M1R 3C3.

Use of the Site constitutes a legally binding contract between you and DrivePro. Please read these Terms carefully. If you do not agree with them, you should not use the Site.

1. Acceptance of the Terms

  1. By accessing or using any part of the Site you confirm that you understand and accept these Terms, our Privacy Policy and any other policies that may be referenced in these Terms. You must be at least 13 years old to use the Site. If you are a minor in your jurisdiction of residence (generally under 18 years of age), you may only use the Site with the consent of a parent or legal guardian, who must accept these Terms on your behalf.
  2. Your use of the Site may require you to register an account. You agree to provide accurate and current information during registration and to promptly update that information if it changes. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  3. Clear notice and acceptance. Canadian courts have held that website terms become a contract only when users are clearly informed and have the opportunity to accept them. When you create an account, purchase a course or otherwise interact with the Site, we may ask you to click “I agree” or otherwise indicate acceptance of these Terms. If you do not provide such consent, you may not use the Site.

2. Updates to the Terms

We may update these Terms from time to time. We will not make changes that materially affect your rights without providing reasonable notice. Notice may be provided by posting an updated version of the Terms on the Site, sending an email to the address associated with your account, or by requesting your consent to the updated Terms when you next access the Site. If you disagree with the updated Terms, you may close your account and stop using the Site. Continuing to use the Site after changes take effect constitutes your acceptance of the updated Terms.

This approach follows the Competition Bureau’s advice that terms should be accessible, clearly written and communicated to users; it also allows you to opt out of future changes by ceasing use.

3. Privacy and Data Protection

  1. We collect, use, disclose and retain personal information in accordance with our Privacy Policy and Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA), which sets out ten fair information principles. These principles include accountability, identifying purposes, consent, limiting collection and retention, accuracy, safeguards, openness, individual access and the ability to challenge compliance. Our Privacy Policy explains what information we collect, how we use it, and the choices you have with respect to your information.
  2. By using the Site, you consent to the collection, use and disclosure of your personal information as described in our Privacy Policy. You have the right to access, correct or request deletion of your personal information, and to withdraw consent for further processing, subject to legal or contractual restrictions.
  3. We implement reasonable security measures designed to protect personal information against unauthorized access, disclosure, alteration or destruction. However, no method of transmission over the Internet or electronic storage is completely secure. We cannot guarantee absolute security of your information.

4. Intellectual Property

  1. Ownership. Unless otherwise indicated, all content and materials on the Site — including but not limited to text, graphics, course materials, videos, logos, trademarks and software — are owned by or licensed to DrivePro and are protected by Canadian and international intellectual property laws. You may not reproduce, distribute, sell, modify or create derivative works from any content without our prior written consent.
  2. Limited licence. Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable licence to access and use the Site and the content for your personal, non‑commercial use. This licence does not permit you to resell or make commercial use of the Site or its content.

5. Your Responsibilities

When using the Site you agree to:

  • comply with all applicable federal, provincial and municipal laws and regulations;
  • provide accurate information and keep your account credentials confidential;
  • only use the Site for lawful purposes and not for any activity that could harm us, other users or our service providers;
  • not upload, post, transmit or otherwise make available any content that is abusive, harassing, defamatory, obscene, offensive, discriminatory or otherwise unlawful;
  • not upload or transmit malicious code or other harmful components;
  • not attempt to reverse‑engineer, decompile or disassemble any of the software used to provide the Site;
  • not systematically collect data from the Site to create or compile, directly or indirectly, a database or directory without our written permission;
  • not misuse our support services or submit false reports of abuse or misconduct.

These restrictions mirror the original Terms but are presented in plain language for greater accessibility and align with the Competition Bureau’s recommendation to make terms easy to understand.

6. User‑Generated Content

  1. Your content. You may have the ability to post or upload content such as comments or course responses. You are solely responsible for any content that you post. You represent that you own or have the necessary rights to the content you submit and that posting it does not violate any third‑party rights or laws.
  2. Licence to DrivePro. By submitting content, you grant DrivePro a worldwide, royalty‑free, perpetual, irrevocable, non‑exclusive licence to use, reproduce, modify, publish and display your content in connection with the operation of the Site and our business. We may remove or disable access to any content for any reason, including if we believe it violates these Terms or applicable law.

7. Purchases and Payments

If you purchase a course or other product through the Site:

  1. Pricing. All prices are displayed in Canadian dollars unless stated otherwise and include applicable taxes unless otherwise indicated. We endeavour to ensure that pricing and other information on the Site is accurate, but errors may occur. If we discover an error in the price of a product you have ordered, we will notify you and give you the option of reconfirming your order at the correct price or cancelling it.
  2. Payment methods. We accept the payment methods stated on the Site. You authorize us (or our payment processor) to charge your selected payment method for the amount of your purchase. Recurring payments (for example, subscription services) will be billed on the schedule displayed at the time of purchase. You may cancel a subscription at any time through your account settings; cancellations will take effect at the end of the current billing period.
  3. Refunds and returns. Our refund policy is available on the Site. Nothing in these Terms limits your statutory rights under the Ontario Consumer Protection Act or other applicable consumer protection legislation.

Including clear information about pricing, payment methods, refunds and contract duration reflects the Competition Bureau’s guidance that terms should include all relevant information.

8. Links to Third‑Party Content

The Site may contain links to third‑party websites or services that are not owned or controlled by DrivePro. We provide these links for convenience only and do not endorse or assume any responsibility for the content, privacy policies or practices of any third‑party sites. When you access a third‑party site, you do so at your own risk and should review the applicable terms and policies.

9. Disclaimer

The Site and all content are provided on an “as is” and “as available” basis. We make no warranties or representations of any kind, express or implied, about the operation of the Site or the information, content or materials included on the Site. To the fullest extent permitted by law, DrivePro disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non‑infringement. We do not warrant that the Site will be uninterrupted or error‑free, that defects will be corrected, or that the Site is free of viruses or other harmful components.

Nothing in these Terms purports to limit statutory warranties or consumer protection rights that cannot be excluded under applicable law. Certain Canadian laws, including provincial consumer protection legislation, may provide you with additional rights. If those laws apply, some of the above limitations may not apply to you.

10. Limitation of Liability

To the fullest extent permitted by law, DrivePro (including its directors, officers, employees, and agents) will not be liable for any indirect, consequential, incidental, special, punitive or exemplary damages arising from your use of (or inability to use) the Site or any content, even if we were advised of the possibility of such damages. Our total liability for any claim arising from your use of the Site will not exceed the amount paid, if any, by you for the services in question. Some provinces do not allow limitations of liability, so these limits may not apply to you.

11. Indemnification

You agree to indemnify and hold DrivePro and its affiliates, directors, officers, employees and agents harmless from any claims, liabilities, damages, losses and expenses (including legal fees) arising out of or relating to (a) your breach of these Terms; (b) your use of the Site; (c) your content; or (d) your violation of any law or the rights of a third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and, in that case, you agree to cooperate with our defence.

12. Governing Law and Dispute Resolution

  1. Governing law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
  2. Jurisdiction. Any dispute arising out of or relating to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the courts of the Province of Ontario, unless applicable law requires that a claim be brought in the jurisdiction where you reside. Bringing disputes in our home jurisdiction helps ensure that we are not required to defend claims in distant courts.
  3. Resolution process. If you have a concern or dispute with us, we encourage you to contact us first so that we can try to resolve the issue informally. If we are unable to resolve it, you may pursue other remedies available under applicable law, including contacting the Ontario Ministry of Public and Business Service Delivery or the Office of the Privacy Commissioner of Canada.

13. Severability

If any provision of these Terms is found to be unlawful, void or unenforceable, that provision will be severed from these Terms and will not affect the validity and enforceability of the remaining provisions.

14. Entire Agreement

These Terms, together with any policies referenced herein, constitute the entire agreement between you and DrivePro with respect to the subject matter and supersede all prior or contemporaneous agreements, understandings or communications. Failure to enforce any provision of these Terms is not a waiver of our right to do so later.
